Terms of service

Effective: August 2025.

1. Who we are

Established August 4, 2025. Referred to below as "Merki", "we", or "us".

2. Acceptance

By creating an account or using the service, you agree to these terms, the Acceptable use policy, and the Privacy policy. If you use the service for an organization, you confirm you may bind it.

3. Accounts

  • You may create unlimited accounts. Each account is separate; access, credits, and verification are bound to the account. Bonus caps are per account, and farming bonuses across accounts is a violation. See Credits.
  • You must provide accurate information and keep it current. If you are under the age of majority where you live, you confirm you have parental or guardian consent to use the service. Regular has no age gate, but Roleplay requires 18 and over regardless of consent.
  • You are responsible for activity under your accounts and for the security of your credentials. Store keys in environment variables or a secrets manager; never commit them to git. See API keys.
  • If one account violates these terms, Merki may terminate other accounts that belong to the same person or organization, based on signals such as shared payment instruments, shared verified identity, shared infrastructure, and account behavior.

4. Credits and payment

  • The service is credit based. There are no subscriptions. Prices and top-ups are in US dollars.
  • Top-ups of 100 USD or more in a single top-up earn 5% bonus credits, lifetime cap 300 USD per account. Bonus credits are spent first, are non-refundable, and have no cash value.
  • Credits are drawn down at the rates in the model catalog. Cache hits bill at 50% of the input rate. Only tokens actually delivered are billed.
  • Refunds are governed by the Credit and refund policy. Initiating a chargeback may suspend the accounts involved while it is reviewed.

5. Access tiers and verification

  • Regular is open to anyone, at any age.
  • Roleplay is limited to adults, 18 and over, confirmed by Sumsub age assurance. Roleplay can serve adult content. Merki pays for the check; retries after 24 hours.
  • Cybersecurity requires identity verification, and domain control: a DNS TXT record or a .merki challenge file, valid for at most 7 days. Wildcards are not accepted, and verification does not propagate to subdomains. Renew at day 6 to absorb propagation delay.
  • Verification records are kept for account lifetime plus 5 years.

6. Acceptable use

Your use must comply with the Acceptable use policy. Content prohibitions apply at every tier and every age.

7. API keys

API keys are revoked automatically when committed to git or found exposed on the public internet, typically within 24 hours of detection. A revoked key stays revoked. See API keys.

8. Data

Prompt and completion content is not retained, except for cache entries (24 hours, per-account). See Zero data retention and the retention matrix. BYOK requests go to your provider under your agreement with them.

9. Intellectual property

Merki's technology, including its proprietary inference stack, remains the property of Merki. You retain rights to your own inputs and outputs, subject to the law and third-party rights, including the upstream licences of the models you call.

10. Availability

Availability commitments, where offered, are set out in the Service level agreement. Only models with a measured uptime value in the catalog are covered. Live status: https://status.merki.dev.

11. Suspension and termination

Merki may suspend or terminate access for violations, for exposure of credentials, or where required by law. You may close your accounts at any time. Balances on termination are handled under the Credit and refund policy: voluntary closures keep the 14-day unused-credit refund; accounts closed for violation forfeit remaining balances, except where applicable law requires otherwise.

12. Disclaimers and liability

The service is provided as is, to the extent permitted by law. To the extent permitted by law, Merki excludes indirect, incidental, consequential, and special damages, including loss of profits, data, or goodwill. Merki's aggregate liability for all claims arising from the same event in any 12-month period is limited to the fees you paid in the 3 months preceding that event. Nothing limits liability that cannot be limited by law.

13. Governing law

These terms are governed by the laws of Singapore. The courts of Singapore have exclusive jurisdiction over disputes arising from these terms or the service.

14. Changes

Merki may update these terms. Material changes will be announced at least 30 days before they take effect, on the changelog and by email. Continued use after the effective date constitutes acceptance.

15. General

  • Severability. If any provision is held unenforceable, the remainder continues in effect, and the provision is read down to the minimum extent needed to make it enforceable.
  • Assignment. You may not assign these terms without Merki's consent. Merki may assign on merger, acquisition, or sale of the business, with notice.
  • Waiver. A failure to enforce a provision is not a waiver of that provision.
  • Force majeure. Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, war, and upstream infrastructure failures.
  • Notices. Merki gives notice by email to the account contact and by posting on the changelog. You give notice by email to legal@merki.dev.
  • Entire agreement. These terms, with the policies they incorporate, are the entire agreement for the service.
